INTRODUCTION:
The Seller Terms & Conditions and all policies and other terms are mentioned on the website, which can be accessed by our sellers or those concerned about taking advantage of our marketplace. By applying and registering on our website, the sellers are bound to abide by the terms and conditions of the website and its procedures. From time to time, the conditions may be amended or modified after prior notification through email to all our sellers. References in these Terms and Conditions of Sellers as “Second Company” to refer to “You” as a Legal Entity.

SERVICES:
We are providing services to all small or big businessmen, vendors, and resellers to enable their products for all the customers visiting our website. Our e-commerce marketplace platform is entirely based on bringing customers into one place by facilitating our sellers through one-window service that includes:
1. Communication with customers.
2. Obtaining the Payments.
3. Organizing Delivery.
4. Shipment of Product.
5. Cash Collection/Payment Processing.
6. Call Center Support.

SELLER PORTAL MODULE:
The Seller Portal available for our sellers comprises a comprehensive product database, where each product should be defined properly, along with complete details of the product, its dimensions, and usage. The portal also includes:
1. Maintaining Products.
2. Easy Price Maintenance.
3. Sales & Payment Statistics.

PRODUCT REQUIREMENTS:
1. Packaging requirements and instructions should be followed to deliver products safely and according to the standard set by the shipping services.
2. Package instructions should be strictly followed to maintain product safety and minimize the risk of damage.
3. Documentation and permits are necessary to deliver the product without any objection.
4. If the product is rejected or returned by the customer during the Quality Check Stage, the seller needs to arrange a pickup for their products by themselves on the same day as notified.
5. Products offered under warranty should contain the necessary documents when supplied or delivered to customers. The warranties are applicable in cases where there are defects in products, material, design, or if products are found damaged.
6. The seller holds the responsibility for after-sales service, guarantee, maintenance, or any defects.

REQUIREMENTS FOR VAT REGISTRATION CERTIFICATE AND COMPLIANCE WITH FEDERAL TAX AUTHORITY RULES:
It is necessary to provide a Value Added Tax (VAT) Registration Certificate or any additional information that may be requested by us via email or other means of communication.
Products delivered at present and purchased prior to January 2018 will be subject to VAT calculation in accordance with the rules set by the Federal Tax Authority (FTA). It is also mandatory to submit any collected tax and comply with the related procedures.

RETURNS, REFUND, OR EXCHANGE:
We ensure a good experience for our customers on our website. We agree to offer certain services to our customers, including delivery, returns, replacements, exchanges, and warranty claims of products under our terms and conditions for returns and refunds.
Criteria for Eligible Products (For Returns & Refunds):
1. Products that are damaged, not as described, not as shown in the picture, not the size mentioned, or have a change in design.
2. Warranty claims will be dealt with according to the policies of third-party companies or the manufacturer’s policies.
3. Claims about any product can be made within a period of 7 days.
4. Products that are out of stock, sold out, or due to human errors, server errors, or customer mistakes can be considered for a return or refund upon request.
5. No circumstances give the seller the right to change, amend, or modify the price, information, or design without prior approval after the request is submitted and may take up to 24 working hours for implementation.
6. If there is a dispute or complaint by the buyer, the seller will not be able to receive the returned product or refunded amount until the customer is satisfied or the dispute is resolved by the customer happiness center.
7. The seller is only allowed up to 10 days to raise a complaint against the buyer (customer) or any vendor to address any issue related, unrelated, or indirectly related.

FAILURE OF FULFILLMENT:
The seller accepts the policy to fulfill the requirement as per the website showcase, mentioned quantity, or in case any damage is observed. In case of failure to comply, the seller will be charged with 100% of the product amount as a fine for not meeting the commitment made concerning the quantity provided in the stock list or warehouse.

WRONG PRICES:
1. The seller is requested to submit the final price upon submission of the form while publishing the product and is not allowed to change or amend the price without a valid reason or notification.
2. Frequent changes in price are not allowed without a valid reason.
3. The marketplace reserves the right to approve or reject any price change or amendment in information that is mismatched upon physical quality check or inspection.

FEES AND PAYMENTS:
Once affiliated, sellers are required to submit their listings for approval, which includes complete information related to the products submitted. Our service charges include:
1. Product Listings
2. Percentage of Every Sales Transaction
3. Delivery Charges
4. Warehousing and Logistics
5. Processing Fees or any additional charges
6. Any taxes or charges for providing services directly or indirectly
7. Any charges occurred due to the return or refund policy
8. Any other charges notified in advance.

SALES REPORT & PROCESSING OF FUNDS:
Sales reports can be viewed online through the Seller Portal. The report will contain each product, along with the sale price and the charges taken. Proceeds from every sale will be paid by the bank to the provided account every month or as per the agreed terms. The amount can only be deposited into a bank account provided by the seller. We will not be liable for any wrong bank account information provided by the seller due to any mistake or other reasons. By authorizing the payments, if required, the seller will be required to open an account with our third-party processors and provide the necessary information to activate the account.

DISCOUNTS & PROMOTIONS:
We may offer discounts or promotions on your products based on sales performance, after prior notification. The adjustment will be made through our commission if required.

FIXED CHARGES & TAXATION:
Sellers hereby agree that we are authorized to list the product at higher prices, including handling, delivery, and referral charges. The fixed charges applicable are 5% VAT as per the directions of the Federal Tax Authority. We will issue the invoice to the customer on your behalf and remit the full amount received from the customer on behalf of VAT if you provide your VAT registration details. In case of failure to submit VAT registration details, we will purchase the products from you and resell them to the customer ourselves as mentioned in the above clauses. You also agree that we will deduct 5% VAT from the amount refunded to you.

RECOVERY OF CHARGES OCCURRED DUE TO DAMAGE:
Any amount owed to you that needs to be recovered and occurs as a result of loss or damage caused by the product you provided or refunded to the customer on your behalf will be deducted. If there is a claim for any copyright violation, intellectual property rights, or fraudulent conduct, a monetary penalty can be imposed. Upon suspension of the seller’s account or use of our services due to the above-mentioned reasons, the seller's account will be moved to review for inspection and approval to determine the cause and prevent the same behavior in the future. We may seek reimbursement if we discover a negative impact on cost calculations following a thorough inspection.

INTELLECTUAL PROPERTY RIGHTS & OTHER CLAIMS:
Sellers hereby grant us a royalty-free, transferable, and non-exclusive license to use your trademarks, copyrights, and other intellectual property rights. The seller will not be allowed to use or mention the DOD marketplace name on any third-party website for their products or claim ownership of the marketplace. We provide services to showcase, market, and sell the seller's product, but we are not responsible for its quality, condition, or any damage.

WARRANTY CLAIMS:
The seller takes responsibility for adhering to DOD's policies, fulfilling commitments for product replacement or change, complying with UAE Ministry regulations, and providing all necessary documents. In case of failure, the seller takes complete responsibility to refund or pay the loss charged against them.

PRODUCTS ELIGIBILITY, INFORMATION & DESCRIPTIONS:
DOD will obtain all the requirements to sell the product on its marketplace, including licenses, permissions, authorizations, property rights, and permits, on your behalf. Products should be new and of high quality, tested according to industry standards. DOD owns and operates all administrative management and B2C services under strict regulations. The seller is responsible for ensuring that the products listed are legal and allowed to be sold on the market without objection from the manufacturers. The seller should own or have the authority to grant the license to make changes to product information, price, or display due to technical errors or poor sales performance. The dimensions of the product should be correct and taken physically to ensure accurate information. If there is a difference in any provided information, the product will be rejected from the listing with notification via email. DOD inspects all products received for any intellectual property violation, claim, quality, or authenticity.

TERMINATION OF ACCOUNT:
We may limit, suspend, or withdraw your access to our services, remove your listings, and terminate your account if you breach the terms and conditions or if there is any violation related to discrimination, non-cooperation, or failure to address issues raised by buyers or vendors.

PRIVACY AND CONFIDENTIAL RIGHTS:
The seller will be responsible for maintaining the confidentiality of any information provided by us about customers or vendors. DOD strongly believes in the privacy of all our members and operates under strict privacy regulations.

REGULATIONS AND LIABILITIES:
DOD does not take any responsibility for loss due to fraud, injury caused by the product, negligence, or any third-party claims. Our staff, including management, will not be responsible for any fraudulent or misleading products, injuries, or copyright claims. Sellers are advised to obtain all necessary documents and ensure that the products listed are genuine and compliant with all regulations.

REGISTRATION PROCEDURE:
To register on our platform, sellers should follow these steps:
1. Fill out the registration form on the seller portal (seller.doduae.com).
2. Upload the required documents, including a valid trade license, scanned copy of the Emirates ID of the license holder, scanned copy of a utility bill under the same name, and complete address proof under the name of the license owner.
3. After 48 working hours, the seller will be notified via email regarding the approval or disapproval of the documents.
4. Once approved, the seller will be provided with the seller module and a tutorial on how to start publishing with the module.
5. VAT-registered sellers should send a VAT certificate to start business with us.
